Affiliate Program Agreement

Effective Date: May 25, 2026

IMPORTANT — PLEASE READ CAREFULLY: This Affiliate Program Agreement (the "Agreement") is a legally binding contract between you ("Affiliate," "you," or "your") and Luna's Spiritual Studio ("Company," "we," "us," or "our"). By registering for and participating in the Luna's Spiritual Studio Affiliate Program (the "Program"), you agree to be bound by all terms and conditions set forth herein. If you do not agree, do not register for or participate in the Program.

1. DEFINITIONS

  • 1.1 "Affiliate Link" — The unique URL assigned to you through the Program, which tracks referrals from your promotional activities to our website.
  • 1.2 "Commission" — The monetary compensation earned by you for Qualifying Purchases made by Referred Customers.
  • 1.3 "Qualifying Purchase" — A completed, non-refunded purchase of a paid tarot reading service on our platform made by a Referred Customer within the Cookie Period.
  • 1.4 "Referred Customer" — A unique individual who clicks your Affiliate Link and subsequently makes a purchase on our website within the Cookie Period.
  • 1.5 "Cookie Period" — The 30-day period following a click on your Affiliate Link during which a purchase will be attributed to you.
  • 1.6 "Refund Window" — The 14-day period following a Qualifying Purchase during which a Commission remains in Pending status and is subject to reversal if the corresponding purchase is refunded or charged back.

2. ENROLLMENT AND ELIGIBILITY

  • 2.1 You must be at least 18 years of age and capable of entering into legally binding agreements.
  • 2.2 We reserve the right, in our sole discretion, to accept or reject any application for the Program for any reason or no reason at all.
  • 2.3 You may not register more than one Affiliate account without our express written consent.
  • 2.4 You must provide accurate and complete registration information and keep such information current.

3. COMMISSION STRUCTURE

  • 3.1 Commissions are calculated using a tiered rate based on your lifetime order count. The more Qualifying Purchases you refer, the higher your rate:
    • 0–499 orders: 10%
    • 500–2,999 orders: 15%
    • 3,000–14,999 orders: 20%
    • 15,000–29,999 orders: 25%
    • 30,000–49,999 orders: 30%
    • 50,000+ orders: 35%
  • 3.2 We reserve the right to modify Commission rates or tier thresholds at any time upon notice. Rate changes apply prospectively only and do not affect Commissions already earned.
  • 3.3 Free readings (including daily cards and promotional free readings) do not generate Commissions.
  • 3.4 Commissions on subscription purchases are calculated on the initial subscription payment only; renewal payments may be subject to different rates at our discretion.

4. COMMISSION STATUS AND REFUND PROTECTION

  • 4.1 Pending Status. Upon a Qualifying Purchase, the corresponding Commission is recorded with a "Pending" status for a period of 14 calendar days (the "Pending Period").
  • 4.2 Refund and Chargeback Reversal. If a Qualifying Purchase is refunded, charged back, or otherwise reversed at any time — whether during or after the Pending Period — the corresponding Commission shall be immediately and permanently reversed, and no Commission shall be payable to you for such transaction. This includes, without limitation:

  • (a) Chargebacks initiated through credit card issuers or payment processors;

    (b) Refunds requested by customers through our standard refund process;

    (c) Refunds, chargebacks, or reversals arising from fraudulent transactions;

    (d) Organized or coordinated refund campaigns, including but not limited to situations where customers are directed or incentivized to purchase and subsequently refund.

  • 4.3 Confirmed Status. After the Pending Period expires without reversal, the Commission transitions to "Confirmed" status and becomes eligible for payout, subject to the minimum payout threshold in Section 5.
  • 4.4 Fraud Detection. We reserve the right to reverse any Commission — regardless of its status, including "Confirmed" or "Settled" — upon discovery of fraudulent, abusive, or deceptive practices. Detection of such practices may occur at any time, and no time limitation shall bar our right to recover improperly paid Commissions.
  • 4.5 In the event of a fraudulent refund scheme or organized abuse, we reserve the right to suspend your account, withhold all unpaid Commissions, and pursue recovery of any Commissions previously paid to you through all available legal means.

5. PAYMENT TERMS

  • 5.1 Commissions are paid only on Confirmed Commissions that have passed the Pending Period without reversal.
  • 5.2 The minimum payout threshold is $50.00 USD. Commissions will not be paid until your Confirmed balance reaches or exceeds this amount.
  • 5.3 Payouts are processed on a monthly basis, typically within the first 15 business days following the end of each calendar month.
  • 5.4 Payments are made via PayPal, bank transfer, or other methods as agreed between the parties. You are responsible for providing accurate payment information and for all taxes applicable to your Commission income.
  • 5.5 We are not responsible for Commissions lost due to incorrect payment information provided by you.

6. PROHIBITED ACTIVITIES

The following activities are strictly prohibited and constitute grounds for immediate termination and forfeiture of all Commissions:

  • 6.1 Self-referral. Using your own Affiliate Link to make purchases for yourself or on your own behalf.
  • 6.2 Organized refund abuse. Directing, incentivizing, encouraging, or organizing customers to purchase services with the intent to subsequently request refunds or chargebacks.
  • 6.3 Spam. Sending unsolicited commercial email, bulk messages, or any other form of spam to promote your Affiliate Link.
  • 6.4 False or misleading advertising. Making false, misleading, or unsubstantiated claims about our services, including claims of guaranteed results, medical benefits, or psychological treatment.
  • 6.5 Cookie stuffing. Using any technique to artificially set the tracking cookie without a genuine user click on your Affiliate Link.
  • 6.6 Paid search bidding. Bidding on our brand name, trademarks, or variations thereof (including "Luna's Spiritual Studio," "Luna Spiritual," or similar terms) in paid search advertising without our prior written consent.
  • 6.7 Incentivized traffic. Offering cash rebates, rewards, points, or other incentives to users for clicking your Affiliate Link, unless expressly authorized by us in writing.
  • 6.8 Inappropriate content. Placing Affiliate Links on websites or platforms that contain illegal content, hate speech, pornography, or content that violates intellectual property rights.
  • 6.9 Misrepresentation. Impersonating Luna's Spiritual Studio, its employees, or claiming an affiliation beyond that of an independent Affiliate.

7. INTELLECTUAL PROPERTY

  • 7.1 We grant you a limited, non-exclusive, revocable license to use our logos, banners, and marketing materials provided through the Program solely for the purpose of promoting our services.
  • 7.2 You may not modify, alter, or create derivative works of our marketing materials without our prior written consent.
  • 7.3 All goodwill arising from your use of our trademarks inures to our benefit.
  • 7.4 This license terminates immediately upon termination of your participation in the Program.

8. RELATIONSHIP OF PARTIES

  • 8.1 You are an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, franchise, or agency relationship between you and us.
  • 8.2 You have no authority to bind us to any contract or obligation.
  • 8.3 You are solely responsible for all taxes, insurance, and other liabilities arising from your participation in the Program.

9. TERMINATION

  • 9.1 Termination by You. You may terminate your participation in the Program at any time by providing written notice and ceasing all use of your Affiliate Link and Program materials.
  • 9.2 Termination by Us. We may terminate your participation at any time, with or without cause, upon notice to you.
  • 9.3 Immediate Termination. We may immediately terminate your participation without prior notice if you violate any of the Prohibited Activities in Section 6 or engage in fraudulent conduct.
  • 9.4 Effect of Termination. Upon termination, you must immediately cease all promotional activities and remove all Affiliate Links. Commissions earned prior to termination will be paid in accordance with Sections 4 and 5, unless termination was for cause, in which case we reserve the right to withhold all unpaid Commissions.
  • 9.5 Sections 4, 6, 7, 8, 9, 10, 11, and 12 survive termination of this Agreement.

10. LIMITATION OF LIABILITY

  • 10.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUNA'S SPIRITUAL STUDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THIS AGREEMENT OR THE PROGRAM.
  • 10.2 OUR TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
  • 10.3 We make no guarantees regarding the amount of Commissions you may earn, the volume of traffic you may generate, or the conversion rate of Referred Customers.

11. PRODUCT AND SERVICE DISCLAIMER

  • 11.1 Entertainment Purpose. All tarot reading services provided by Luna's Spiritual Studio are for entertainment and self-reflection purposes only. They do not constitute professional medical, psychological, legal, financial, or psychiatric advice, diagnosis, or treatment.
  • 11.2 No Guaranteed Outcomes. We make no representations or warranties regarding the accuracy, completeness, or applicability of any tarot reading. Results vary and are subjective. You agree not to make any claims suggesting that our services guarantee specific outcomes, predictions, or results.
  • 11.3 User Responsibility. Users of our services are solely responsible for their own decisions and actions. We expressly disclaim all liability for any actions taken or not taken based on our services.
  • 11.4 Affiliate Obligation. In all promotional activities, you agree to clearly communicate the entertainment nature of our services and not to present them as substitutes for professional advice.

12. REGULATORY COMPLIANCE AND DISCLOSURES

12A. Affiliate Disclosure Requirements

  • 12A.1 FTC Compliance (United States). Under the Federal Trade Commission's Endorsement Guides (16 CFR Part 255), you must clearly and conspicuously disclose your material connection to Luna's Spiritual Studio whenever you promote your Affiliate Link. Acceptable disclosures include, but are not limited to: "I earn a commission if you purchase through my link," "This is an affiliate link," or "I may receive compensation for purchases made through this link."
  • 12A.2 ASA Compliance (United Kingdom). You must comply with the Advertising Standards Authority's CAP Code, which requires that marketing communications be clearly identifiable as such and that affiliate relationships be disclosed prominently.
  • 12A.3 Platform-Specific Requirements. You agree to comply with the affiliate disclosure requirements of all platforms where you promote your Affiliate Link, including but not limited to: Instagram's Branded Content Tool requirements, YouTube's paid promotion disclosure, TikTok's branded content policies, and any other platform-specific requirements.
  • 12A.4 Disclosure Placement. Disclosures must be placed before or immediately adjacent to your Affiliate Link, in a font size and color that is easily readable, and not hidden among other text or behind "read more" links.

12B. Data Privacy and GDPR

  • 12B.1 General Compliance. You agree to comply with all applicable data protection and privacy laws, including but not limited to the General Data Protection Regulation (GDPR - EU/EEA), the California Consumer Privacy Act (CCPA), the Personal Information Protection Law (PIPL - China), the Lei Geral de Proteção de Dados (LGPD - Brazil), and any other applicable privacy legislation in jurisdictions where you operate or promote.
  • 12B.2 No Data Sharing. You shall not collect, store, or share personal data of Referred Customers without the customer's explicit consent and without a lawful basis for processing.
  • 12B.3 Privacy Notice. If you collect any personal data from users on your promotional channels, you are solely responsible for providing an appropriate privacy notice and obtaining necessary consents.

12C. Tax Compliance

  • 12C.1 Independent Tax Responsibility. As an independent contractor, you are solely responsible for reporting and paying all applicable taxes on Commission income, including but not limited to income tax, self-employment tax, VAT/GST, and any other duties imposed by your local, state, or national tax authorities.
  • 12C.2 Tax Reporting. We may be required to issue tax forms (such as IRS Form 1099-MISC in the United States) for Commission payments exceeding applicable thresholds. You agree to provide accurate tax identification information upon request.
  • 12C.3 No Tax Advice. We do not provide tax advice. You are encouraged to consult a qualified tax professional regarding your obligations.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Luna's Spiritual Studio, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your breach of this Agreement; (b) your promotional activities, including any failure to comply with the disclosure requirements in Section 12A; (c) any content on your website or social media platforms; (d) your violation of any applicable law, regulation, or third-party right; or (e) any tax liability arising from your Commission income.

14. GOVERNING LAW AND DISPUTE RESOLUTION

  • 14.1 This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
  • 14.2 Any dispute arising from this Agreement shall first be resolved through good-faith negotiation between the parties. If negotiation fails, the dispute shall be resolved through binding arbitration in Los Angeles County, California.
  • 14.3 You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. MODIFICATIONS

We reserve the right to modify this Agreement at any time. We will notify you of material changes via email or through the Affiliate Dashboard. Your continued participation in the Program following such notification constitutes acceptance of the modified terms.

16. SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

17. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties regarding the Program and supersedes all prior agreements, understandings, and communications, whether written or oral.
